Changes to Non-Executive Director Roles and Responsibilities

The Gym Group plc (the “Company”), the nationwide operator of 186 low-cost gyms, announces the following changes to Board roles and responsibilities and the composition of its committees.

As announced on 15 January 2021, our Senior Independent Director and Audit & Risk Committee Chair, Paul Gilbert, will retire at the AGM in May after nine years with our business. The Company is pleased to announce that independent non-executive director Emma Woods will be appointed to the role of Senior Independent Director (SID) with effect from the date of the Company’s next AGM.

In addition to the change of SID, the following changes to roles and responsibilities of certain of our non-Executive Directors will also take place with effect from the date of the Company’s next AGM:

  • David Kelly will be appointed chair of the Audit & Risk Committee;
  • Emma Woods will be appointed chair of the Remuneration Committee;
  • Rio Ferdinand will join the Remuneration Committee, the Nomination Committee and the Health & Safety and Wellbeing Committee; and
  • Wais Shaifta will join the Audit & Risk Committee, the Nomination Committee and the Health & Safety and Wellbeing Committee.
